Studio Legale Salardi Advised Opificio Ceramico in the transaction.
This is the ninth commercial operation since the Group was first established six years ago.
The Italcer Group, one of Italy's leading manufacturers of ceramic floor and wall tiles and bathroom furnishings, has announced that its subsidiary Equipe Ceràmicas SLU has acquired a stake in Opificio Ceramico Srl, a Modena company specialising in the sale of high-end luxury ceramic surfaces, with special focus on small artisanal sizes and made-to-measure products.
With this operation, the Modena company joins the Group through the acquisition by the Spanish company Equipe Cerámicas SLU of a 20% minority stake, with a call option already agreed for the acquisition of a majority share.
The Italcer Group thereby confirms its position as a leading concern in the ceramic tile industry, in Italy and worldwide, with an expected turnover for 2023 approaching 400 million euros.
This commercial operation is the ninth carried out in six years by the Group, which has Mindful Capital Partners, Miura and Capital Dynamics as reference shareholders and is directed by Graziano Verdi. Opificio Ceramico does in fact follow other acquisitions and namely La Fabbrica-AVA, Elios, Devon&Devon, Rondine, the Spanish company Equipe and Fondovalle.
“Opificio Ceramico is a relatively young company on the market,” says Graziano Verdi, CEO of the Italcer Group, “but it is already making a name for itself thanks to its unique products which perfectly espouse our sustainable production philosophy”. "With this operation", Verdi continues, "we confirm our desire to create an Italian design hub made up of high-end ceramic companies, thereby activating significant synergies at business level both in Italy and abroad”. Opificio Ceramico was established in 2018 by Emanuele Marcato, who decided to launch a new project, starting from the intimacy of the artisanal and sustainable dimension, with the aim of creating truly “bespoke products.
For the legal aspects of the operation, Equipe Ceramicas was assisted by Pinsent Masons led by partner Francisco Aldavero Bernalte while Opificio Ceramico was assisted by Studio Legale Salardi of Modena led by founding partner Stefano Salardi. For tax aspects, Opificio Ceramico was assisted by Studio+Com.
Italcer, a leading Italian group in the ceramic industry, directed by Graziano Verdi and controlled by the Mindful Capital Partners Investment Fund, has about 1100 employees, boasts hundreds of completed projects and 15,000 customers worldwide.
Today, it operates through high-end brands and long-established industrial companies in the ceramics sector which manufacture top-quality products for interiors and outdoors, including Ceramica Fondovalle, La Fabbrica-AVA, Elios Ceramica, Devon&Devon, Ceramica Rondine, Bottega and Equipe Cerámicas.
